AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and WholesaleItalianFood.com (“Company,” “we,” “us,” or “our”), concerning your access to and use of the WholesaleItalianFood.com website, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). By accessing the Site, you agree that you have read, understood, and agree to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. We will notify you of any changes by updating the “Last updated” date of these Terms of Use, and you waive any right to receive specific notice of each change. We reserve the right to suspend or terminate your account if any provided information is untrue, inaccurate, not current, or incomplete.

We reserve the right to remove, reclaim, or change a username if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

USER GENERATED CONTENT & CONTRIBUTIONS

The Site does not offer users to submit content. If we allow contributions in the future, all submissions must adhere to our guidelines and must not violate any applicable law or third-party rights. We reserve the right to monitor and remove content at our sole discretion.

THIRD-PARTY LINKS AND CONTENT

The Site may contain links to third-party websites or services. We do not endorse or assume responsibility for any such third-party sites, and you access them at your own risk.

SITE MANAGEMENT

We reserve the right to monitor the Site for violations, take appropriate legal action, and manage the Site in a way that protects our rights and property.

GOVERNING LAW

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Florida.

DISPUTE RESOLUTION

Any disputes shall be first attempted to be resolved through informal negotiations. If unresolved, they shall be settled through binding arbitration in Miami-Dade County, Florida, under the rules of the American Arbitration Association.

LIMITATIONS OF LIABILITY

We shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site. Our total liability shall not exceed $500.00 USD.
